Proposed Resolutions and Implications
Ordinary Business:
1. Adoption of Financial Statements: To consider and adopt the audited financial statements (including consolidated financial statements) for FY2025-26 and reports of Board of Directors and Auditors.
2. Director Reappointment: To appoint Mr. Vyomesh M. Shah (DIN: 00009596) who retires by rotation and is eligible for re-appointment. He currently holds 51,81,349 equity shares and draws remuneration of ₹1,38,00,000 per annum.

3. FCCB Issuance: To approve issuance of Foreign Currency Convertible Bonds up to US$150 million through one or more tranches. The funds will be used for:
- Expansion and operational requirements of real estate activities
- Repayment/pre-payment of borrowings
- Funding inorganic growth through acquisitions
- General corporate purposes
The resolution grants broad powers to the Board to determine terms, conditions, and timing of issuance.
4. Cost Auditor Remuneration: To ratify remuneration of M/s. Shekhar Joshi & Co., Cost Accountants at ₹1,50,000 plus applicable taxes and out-of-pocket expenses for FY2026-27.
5. Material Related Party Transactions: To approve material RPTs between the Company and its related parties as detailed in Tables A1-A16, with aggregate value limits including:
- Rare Townships Private Limited: ₹1000 crores
- Joynest Premises Private Limited: ₹450 crores
- Twenty Five Estates Development Limited: ₹400 crores
- 25 Chalets Private Limited: ₹400 crores
- Twenty Five Estates Realty Private Limited: ₹200 crores
- Citywood Builders Private Limited: ₹100 crores
- Vishal Techno Commerce Limited: ₹100 crores
- Other subsidiaries with lower limits
6. Subsidiary RPT Approval: To approve material related party transactions where subsidiaries are parties but the Company is not, as required under SEBI Listing Regulations, with the same value limits as in Item 5.
