Hypersoft Technologies Limited disclosed the outcome of its Board meeting held on June 1, 2026, pursuant to Regulations 30 and 31A(8) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The Board considered a request letter received from Mr. Sudhakara Varma Yarramraju, a Promoter of the Company, seeking reclassification of his status from the "Promoter" category to the "Public" category.
The Board noted the declarations and confirmations furnished by Mr. Yarramraju, confirming compliance with all conditions specified under Regulation 31A(3)(b)(i) to (vii) of the SEBI LODR Regulations. He further confirmed that subsequent to the proposed reclassification, he shall continue to comply with all applicable conditions prescribed under Regulation 31A.
After due consideration, the Board approved and recommended the reclassification request, subject to two conditions:
(a) Receipt of a No-Objection Letter/approval from BSE Limited in accordance with Regulation 31A(3)(a)(iii) of the SEBI LODR Regulations
(b) Approval of the Members of the Company by way of an ordinary resolution in accordance with Regulation 31A(3)(a)(v) of the SEBI LODR Regulations
The Company shall submit the reclassification application to the Stock Exchange(s) and undertake such further actions as may be required under the applicable provisions of the SEBI LODR Regulations.
