Dividend Details

The Board of Directors recommended a final dividend of 210% (₹21.00 per equity share of ₹10 each) at its meeting held on May 08, 2026. This dividend is subject to approval by shareholders at the Annual General Meeting (AGM) scheduled for August 26, 2026.

The company has fixed August 05, 2026, as the record date for determining eligibility for the final dividend. Shareholders whose names appear in the list of members and share transfer books as of this record date will be eligible to receive the dividend.

TDS Framework under Income Tax Act, 2025

With effect from April 01, 2026, dividend income is taxable in the hands of shareholders. The company is required to deduct TDS from the dividend paid at applicable rates, which depend on the shareholder's residential status and classification.

Key Deadlines

Shareholders must submit all required documents for claiming exemption or lower deduction to the Registrar and Transfer Agent, Kfin Technologies Limited, on or before Wednesday, August 12, 2026, at 17:00 Hours (IST).

TDS Rates and Documentation Requirements

For Resident Shareholders

  • Valid PAN & Dividend ≤ ₹10,000: 0% TDS for resident individuals.
  • Valid PAN & Dividend > ₹10,000: 10% TDS.
  • No/Invalid PAN: 20% TDS.
  • PAN not linked with Aadhaar (as required u/s 262(6)): 20% TDS.
  • Submission of Form 12I: Enables NIL deduction rate. Must be submitted via the RTA's portal.
  • Lower/NIL Deduction Certificate u/s 395: TDS at the rate specified in the certificate.
  • Exempt Entities (e.g., Mutual Funds, Provident Funds, Insurance Companies, Govt. entities, AIFs): 0% TDS, subject to submission of a self-declaration (Annexure B format) and supporting documents like registration/exemption certificates.

For Non-Resident Shareholders (FII/FPI)

  • General Rate: 20% (plus applicable surcharge and cess).
  • Tax Treaty Rate: Lower rate as per applicable DTAA, subject to submission of:
  • Copy of Indian PAN
  • Valid Tax Residency Certificate (TRC) for FY 2026-27
  • Electronically filed Form 41
  • SEBI registration certificate (for FII/FPI)
  • Self-declaration per Annexure D
  • Resident of Notified Jurisdictional Area (u/s 176): 30% TDS.
  • AIF Category III in IFSC: 10% TDS (plus surcharge and cess), requires PAN and self-declaration (Annexure E).
  • FPI Category I (Offshore Banking Unit): 10% TDS (plus surcharge and cess), requires PAN and self-declaration (Annexure F).
  • Sovereign Wealth/Pension Funds (Notified u/s Schedule V): 0% TDS, requires PAN and documentary evidence of notification.
  • Lower/NIL Deduction Certificate u/s 395: TDS at the rate specified in the certificate.

Procedural Instructions

1. Shareholders must update their PAN with depositories (demat) or Kfin Technologies (physical shares).

2. All required documents must be uploaded as PDFs on the RTA's portal: https://ris.kfintech.com/clientservices/investors/taxforms.aspx.

3. Alternatively, physical documents can be sent to: Kfin Technologies Limited, Selenium Building, Tower - B, Plot No.31 & 32, Financial District, Nanakramguda, Serilingampally, Hyderabad - 500032.

4. All documents must be self-attested as "certified true copy of the original".

5. The company reserves the right to deduct tax at the maximum rate if documents are incomplete, ambiguous, received after the deadline, or if PAN is invalid/mismatched.

Additional Notes

  • If TDS credit is to be given to a person other than the registered shareholder, a declaration per Rule 203(2) of the Income Tax Rules, 2026 (Annexure J) must be submitted.
  • A soft copy of the TDS certificate will be provided. The credit will be visible in Form 16B on the income tax e-filing portal (https://eportal.incometax.gov.in).
  • Shareholders are solely responsible for any income tax demands arising from misrepresentation or omission in the information provided.
