Implementation Route: Direct route through fresh allotment from the Company to extend benefits to Eligible Employees of the Company, including Directors.

Pricing Formula: The exercise price per Option shall be the Market Price of the equity shares or at such discount to market price as may be determined by the Board/Committee at the time of Grant. However, the exercise price shall not be less than the face value of the equity share (Rs. 10).

Vesting Period: Options shall Vest not earlier than the minimum Vesting Period of 1 (One) year from the Grant date and not later than maximum Vesting Period of 3 (Three) years from the date of Grant as determined by the NRC.

Exercise Period: The Exercise Period for Vested Options shall be a maximum of 1 (One) year commencing from the date of Vesting of Options, or such other shorter period as may be prescribed by the Committee.

Administration: The ESOS 2026 shall be administered by the Nomination and Remuneration Committee (NRC) of the Board, designated as the compensation committee.

Eligibility: Grant of Options is based upon eligibility criteria determined by the Committee.
