IIFL Finance Subsidiary Completes Xtracap Acquisition

IIFL Finance Limited has filed a regulatory disclosure regarding the completion of an acquisition by its wholly-owned subsidiary.

Transaction Details

IIFL Fintech Private Limited (formerly known as "IIFL Open Fintech Private Limited"), a wholly-owned subsidiary of IIFL Finance Limited, has completed the acquisition of Xtracap Fintech India Private Limited ("Xtracap"). This transaction follows an earlier intimation dated May 1, 2026.

Ownership Structure Post-Acquisition

As a result of this acquisition, IIFL Fintech now holds 89.69% of the paid-up share capital of Xtracap. Consequently, Xtracap has been reclassified as a step-down subsidiary of IIFL Finance Limited.

Distribution

The intimation was also copied to India International Exchange (IFSC) Limited and NSE IFSC Limited for information.
