The Board of Directors of Ikoma Technologies Limited approved the following appointments via Circular Resolution dated July 2, 2026:

1. Mr. Mahesh Kumar Nayan Kumar (DIN: 11726177) as Additional Director in the category of Non-Executive Independent Director

2. Mr. Gopal Lohia (DIN: 09563931) as Additional Director in the category of Non-Executive Independent Director

Appointment Terms

Both appointments are effective from July 2, 2026 for one Financial Year, subject to approval of shareholders in the ensuing General Meeting.

Mr. Mahesh Kumar Nayan Kumar

  • Professional experience in finance, treasury operations, business consulting, and regulatory compliance
  • Expertise in data analysis, business valuation, insurance, mutual funds
  • SAP finance implementation, business process analysis, tax planning, internal audits
  • Experience handling bank finance, foreign exchange transactions, customs procedures
  • Risk management and regulatory coordination with government authorities including Reserve Bank of India

Mr. Gopal Lohia

  • Experienced corporate professional with expertise in corporate leadership and governance
  • Extensive knowledge of regulatory compliance including MCA filings and SEBI Listing Regulations
  • Expertise in statutory disclosure requirements for public and private companies
  • Experience in strengthening corporate governance through ethical management practices
  • Focus on regulatory compliance and protection of stakeholder interests

Both directors have no relationship with any existing directors of the company.

Both directors are not debarred from holding office of director by virtue of any order of SEBI or any other such authority.
