Proceedings
The Chairman welcomed members, confirmed the meeting was held per regulatory guidelines, and noted the Statutory Registers and Auditor's Report were available for electronic inspection. The Auditors' Report had no qualifications or adverse remarks.
The Chairman delivered a speech highlighting the company's performance, financial results, operational achievements, industry outlook, and future growth plans.
Shareholders were invited to ask questions, which were addressed by the Executive Director. Shareholders congratulated the management on the company's performance.
Voting was conducted via remote e-voting through CDSL and electronic voting at the meeting via INSTAMEET for eligible shareholders (record date: 18th August 2026). Mr. Chirag Shah of Chirag Shah & Associates was the appointed Scrutinizer.
Resolutions Transacted
The following five resolutions were placed for voting:
1. Ordinary Business: Adoption of audited financial statements for FY ended 31st March 2026, along with reports of the Board and Auditors.
2. Ordinary Business: Declaration of a Final Dividend of ₹6 per equity share (face value ₹10 each) for FY 2025-26.
3. Special Business: Re-appointment of Mr. Maheswaran Sankaralingam (DIN: 00143046) as a Non-Executive Non-Independent Director post attaining the age of 75 years.
4. Special Business: Approval for shifting the Registered Office within the State of Gujarat but outside the local limits of the existing city, remaining under the same Registrar of Companies.
5. Special Business: Revision in the remuneration payable to Mr. P. Velmurugan (DIN: 10163584), Whole-time Director designated as Executive Director.
The results of the e-voting, along with the Scrutinizer's Report, were to be declared on the company's website and to the stock exchanges within two working days of the AGM's conclusion.
Chairman's Speech Highlights
- Financial Performance: Revenue from operations for FY 2025-26 was ₹16,981 lakhs. Profit Before Tax increased by 44% to ₹3,261.39 lakhs.
- Operational Excellence: Stable production of Gelatine, Ossein, and DCP was maintained. Power costs reduced by approximately 8% due to solar power generation and Energy Conservation Measures.
- Industry Outlook: The global gelatine market presents opportunities due to reduced capacities in some European markets. Geopolitical issues in West Asia impacted fuel and logistics costs.
- Expansion: A phased modernization and expansion of the Gelatine plant is underway to increase capacity from 2,000 MT to 2,700 MT per annum, effective from the second half of FY 2026-27.
- Sustainability: Initiatives include using bio-briquettes, improved condensate recovery, and steam optimization to lower energy consumption.
- Dividend: A Final Dividend of ₹6 per equity share was recommended for FY 2025-26.
- Management Changes: Mr. P. Velmurugan was appointed as Executive Director and Mr. Valan Raja Nadar was appointed as Chief Financial Officer during the year.
