4. Increase in Borrowing Limits: To approve increase in borrowing limits under Section 180(1)(c) of Companies Act, 2013 from ₹5,000 crore to ₹8,000 crore to support business growth, working capital requirements, and expansion plans.

5. Creation of Security Interests: To approve creation of mortgage, charge, hypothecation and other security interests on company assets under Section 180(1)(a) of Companies Act, 2013 to secure borrowings up to the approved limit of ₹8,000 crore.

6. Ratification of Cost Auditor Remuneration: To ratify remuneration of ₹2,10,000 plus applicable taxes and out-of-pocket expenses to M/s. Jain Sharma and Associates for conducting cost audit for FY 2026-27.

7. Approval of Material Related Party Transactions: To approve material related party transactions with:

  • Inox Green Energy Services Limited (subsidiary) - enabling limit ₹1,750 crore
  • Inox Renewable Solutions Limited (subsidiary) - enabling limit ₹4,400 crore
  • Inox Clean Energy Limited (group company) - enabling limit ₹500 crore
  • Shri Devansh Jain (Whole-time Director) - enabling limit ₹600 crore

Total enabling limit: ₹7,250 crore for period until next AGM in 2027.
