The Company disclosed that due to an inadvertent oversight, the expiry of her tenure was not identified and acted upon at the relevant time. Consequently, the cessation of her office effective May 11, 2026, could not be appropriately recorded, and necessary statutory, regulatory, and consequential actions were not undertaken within the appropriate timeline.

During the intervening period following the completion of her tenure, Ms. Shilpy Chopra participated in certain meetings of the Board and Committees of the Company after May 11, 2026, in the bona fide belief that her tenure as an Independent Director continued.

The Company has considered the provisions of Section 176 of the Companies Act, 2013, which provides that no act done by a person as a director shall be deemed invalid merely by reason of any subsequent finding that such appointment was invalid or had terminated, subject to the proviso contained therein.

Accordingly, subject to Section 176 of the Companies Act, 2013 and other applicable provisions of law, the acts undertaken by Ms. Shilpy Chopra during the intervening period shall not be deemed invalid merely by reason of the subsequent identification and recording of the expiry of her tenure.
