Integrated Proteins Limited held an Extraordinary General Meeting (EGM) on Thursday, 20th August, 2026 through Video Conferencing/Other Audio-Visual Means. The meeting commenced at 13:00 PM IST and concluded at 13:22 PM IST, lasting 22 minutes.

Meeting Conduct and Attendance

The meeting was conducted in compliance with Ministry of Corporate Affairs and SEBI circulars. Mr. Kishan Kanjaria, Director, chaired the meeting and declared it duly constituted with requisite quorum present. The deemed venue was the Registered Office at Manek Centre, Office No 218, P N Marg, Jamnagar – 361008, Gujarat, India. Physical attendance and proxy appointments were not applicable due to the virtual format.

E-Voting Process

Remote e-voting was provided in accordance with Section 108 of the Companies Act, 2013, Rule 20 of the Companies (Management and Administration) Rules, 2014, and Regulation 44 of the SEBI LODR Regulations, 2015. Members who had not voted remotely could use the Insta-Poll facility during the meeting. Ms. Ankita Shah, Practicing Company Secretary, was appointed as Scrutinizer to ensure fair and transparent e-voting process.

Resolutions Approved

The EGM considered and approved four resolutions:

1. Stock Split: Sub-division of each existing equity share of ₹10 face value into 10 equity shares of ₹1 face value each

2. Memorandum Alteration: Alteration of Capital Clause of the Memorandum of Association consequent upon the subdivision of equity shares

3. Director Regularization: Regularization of Mr. Nitesh Pratapray Mehta (DIN: 09555034) as a Non-Executive Director of the Company

4. MD Reappointment: Re-appointment of Mr. Hiren Shah (DIN: 09842161) as Chairman and Managing Director for a further period of five years from July 24, 2026 to July 23, 2031 (passed as Special Resolution)

Voting Results and Disclosure

The voting results will be communicated to BSE Limited within two working days (by August 22, 2026) and made available on the company's website. The e-voting facility remained open for an additional period to allow eligible members who hadn't voted to use the Insta-Poll facility.
