Board Meeting Outcomes
The Board of Directors at their meeting held on Monday, 03rd August, 2026 approved the voluntary withdrawal of the previously proposed Scheme of Arrangement.
Strategic Actions / Restructuring
The Scheme of Arrangement, originally intimated on 4th April 2025, involved:
- Amalgamation of four transferor companies into Inventure Growth and Securities Limited:
- Inventure Finance Private Limited (IFPL) - Material Subsidiary
- Inventure Commodities Limited (ICL)
- Inventure Insurance Broking Private Limited (IIBPL)
- Inventure Developers Private Limited (IDPL)
- Immediate demerger, vesting and transfer of the 'Lending Business Undertaking' of Inventure Growth and Securities Limited into Inventure Wealth Management Limited (IWPL), a wholly owned subsidiary
- Appointed Date: Beginning of day on April 1, 2025
Reason for Withdrawal
The Scheme had received No Objection Letters from BSE Limited and National Stock Exchange of India Limited. However, the implementation was subject to receipt of all applicable statutory approvals, including approval from Reserve Bank of India (RBI) applicable to transferor and resulting Company which is resulting NBFC.
Since the requisite approval from Reserve Bank of India (RBI) has not been received and the scheme cannot be implemented in the absence of such approval, the Board decided to withdraw the Scheme.
Legal Status
The Scheme has not been filed before the Honorable National Company Law Tribunal, and no proceedings are pending before the Tribunal in relation to the Scheme.
Financial Impact
Withdrawal of the Scheme has no financial impact on the Company.
