Ipsen disclosed on Monday that it has entered into a definitive agreement to acquire privately held Kartos Therapeutics in a transaction valued at up to $1.75 billion. The consideration comprises an upfront cash payment of $450 million, with the balance of up to $1.3 billion payable upon the achievement of specified regulatory approvals and sales milestones.

Strategic Rationale

The acquisition adds the drug candidate navtemadlin to Ipsen’s late‑stage oncology portfolio. Navtemadlin is currently in late‑stage clinical trials targeting myelofibrosis, a rare blood cancer, and could become commercially available as early as 2028, addressing an unmet care gap.

Financial Impact

Ipsen’s Chief Executive David Loew stated that the transaction is expected to increase the company’s core operating profit beginning in 2029, while having limited impact on the guidance for the current fiscal year. The deal is projected to close by the end of the third quarter, subject to customary closing conditions.
