Acquisition Overview

Ipsen announced that it has signed an agreement to acquire Swiss biotechnology company Memo Therapeutics in a transaction valued at more than 700 million euros (approximately $799.6 million). The deal follows Ipsen’s earlier agreement, signed earlier this week, to acquire Kartos Therapeutics for up to $1.75 billion.

Deal Structure and Consideration

Ipsen will pay an upfront cash amount of 200 million euros at closing. Additional consideration will be payable in the form of development, regulatory‑approval and sales‑based milestones, which could raise the aggregate transaction value beyond the headline 700‑million‑euro figure.

Target Asset – Potravitug

The acquisition centers on Memo’s experimental drug potravitug, a therapy intended to treat nephropathy associated with BK polyomavirus infection in kidney‑transplant recipients. The U.S. Food and Drug Administration granted potravitug fast‑track designation in 2023. Ipsen plans to commence mid‑stage and late‑stage clinical trials for the compound later in 2026.

Post‑Transaction Structure

All of Memo’s assets and personnel that are not related to potravitug will be transferred to a newly formed entity named Memorises Bio. Memorises Bio will be owned by the existing shareholders of Memo Therapeutics.

Strategic Rationale

The acquisition expands Ipsen’s rare‑disease portfolio and adds a pipeline candidate addressing an unmet need in transplant‑related kidney disease.
