IRB Completes Two SPV Transfers to Public InvIT

Transaction Completion Update

IRB Infrastructure Trust ("Private InvIT") has completed the transfer of 100% of the equity share capital of two project special purpose vehicles to IRB InvIT Fund ("Public InvIT").

The transferred entities are:

• Solapur Yedeshi Tollway Limited (SYTL)
• CG Tollway Limited (CGTL)

This transaction represents a consolidation of infrastructure assets under the publicly listed InvIT structure. The completion was formally communicated to both stock exchanges (BSE and NSE) through separate letters from IRB Infrastructure Developers Limited and MMK Toll Road Private Limited (in its capacity as Investment Manager to IRB Infrastructure Trust).
