Iris Clothings Limited has entered into a Shareholder's Agreement with Mr. Harsh Vardhan Sarda and Mrs. Pooja Sarda (the "Sellers") on Wednesday, July 15, 2026. This agreement formalizes the rights and obligations between the Company and the Sellers regarding the management and control of Infinia Lifestyle Private Limited.
Transaction Background
The Board of Directors of Iris Clothings Limited had previously approved the acquisition of 51% equity shares in Infinia Lifestyle Private Limited from the Sellers during their meeting held on Wednesday, July 8, 2026. This was intimated to the Exchange via communication dated Wednesday, July 8, 2026.
The Company and Sellers subsequently entered into a Share Purchase Agreement (SPA) on Friday, July 10, 2026, as intimated to the Exchange on the same date.
