Meeting Details

The 61st Annual General Meeting was held on Tuesday, September 22, 2026, at 1200 hours through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The meeting was conducted in compliance with circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.

Attendance and Leadership

The meeting had 57 members present, constituting the requisite quorum. The following directors were present:

  • Ms. Mugdha Sinha, IAS, Managing Director
  • Shri Lokesh Kumar Aggarwal, Director (Finance)
  • Shri Rajesh Rana, Director (Commercial & Marketing)
  • Ms. Vandana Jain, Govt. Nominee Director
  • Shri Malay Kumar Singha, Independent Director

Since the ITDC Board did not have a permanent chairperson, the directors present chose Ms. Mugdha Sinha as the Chairperson of the meeting.

Proposed Resolutions and Implications

The following business items were transacted at the meeting:

ORDINARY BUSINESS:

1. To receive, consider, and adopt the Standalone Financial Statements as at 31st March, 2026, together with the Report of the Auditors, Comptroller and Auditor General of India, and the Board's Report thereon.

2. To receive, consider, and adopt the Consolidated Financial Statements as at 31st March, 2026, and Report of Auditors and Comptroller and Auditor General of India thereon.

3. To declare a dividend of 29.5% (i.e. ₹2.95 per share) aggregating approximately ₹25.30 crore on the equity share capital of the company as recommended by the Board of Directors.

4. To appoint a Director in place of Shri Rajesh Rana (DIN 10997830), Director (Commercial & Marketing) who retires by rotation pursuant to Article 61 of the Articles of Association and being eligible offers himself for re-appointment.

SPECIAL BUSINESS:

5. To appoint Ms. Vandana Jain, AS&FA, Ministry of Tourism (DIN 11706666) as Government Nominee Director of the Company.

6. To appoint Mr. Malay Kumar Singha (DIN: 11776378) as Non-Official (Independent) Director of the Company.

Voting Process and Methods

The Company provided remote e-voting facility to shareholders from Thursday, September 17, 2026 (9:00 a.m.) to Monday, September 21, 2026 (5:00 p.m.) for five days, in compliance with Section 108 of Companies Act, 2013 read with Rule 20 of Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The cut-off date for determining eligibility to vote was fixed as Tuesday, September 15, 2026. During the AGM, an 'Instapoll' facility was activated for 15 minutes to enable members who had not cast their votes earlier through remote e-voting.

Scrutinizer Appointment

The Company appointed Shri P.C Jain from M/s P.C Jain & Company Secretaries, Practicing Company Secretaries, as the Scrutinizer to scrutinize the votes cast by shareholders through remote e-voting as well as instapoll voting at the AGM in a fair and transparent manner.

Additional Meeting Proceedings

The Company Secretary informed shareholders about qualifications given on three points in the Report of the Statutory Auditors along with Management Reply, and observations in the Secretarial Audit Report along with Management Reply.

Twenty-four shareholders registered themselves as speakers, with eight speakers present who raised queries that were duly responded to at the AGM.

Results Disclosure and Compliance

The results of voting on each resolution were determined by aggregating votes cast through remote e-voting and voting at the AGM. The results were to be announced and uploaded on the company website (www.itdc.co.in) and on KFintech website (https://evoting.kfintech.com) and submitted to the Stock Exchanges within prescribed time. The resolutions were deemed to be passed on the date of AGM, i.e., September 22, 2026.
