ITI Limited has made a regulatory disclosure pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 regarding a change in its board composition.

The Government of India, through the Ministry of Communications (Department of Telecommunications), issued Order No. E-5-2/2021-PSA dated 16th July 2026. This order appointed Shri Sanjiwan Sinha (DIN: 03316960) as Government Nominee Director on the company's board. Shri Sinha holds the position of Project Director, Programme Monitoring Unit, Office of Administrator, Digital Bharat Nidhi, Department of Telecommunications, and was appointed in an ex-officio capacity.

The appointment is effective from 10th August 2026 and will remain in effect "until further orders." This appointment supersedes the department's previous letter of the same number dated 22nd July 2025 and was made in exercise of powers under Article 129 of the Articles of Association of ITI Limited. Shri Sinha replaces Shri Arun Agarwal, who was previously serving as Director.

Shri Sanjiwan Sinha holds an MBA in Finance, an LL.B., and a Ph.D. in Social Science. He is a 1994-batch IP&TAFS officer with a distinguished career. His experience includes holding key positions in the Department of Telecommunications (DoT), MTNL, BSNL, BBNL, and the Government of Bihar. His expertise spans Information and Communication Technology (ICT), finance, administration, and the implementation of technology-driven public service initiatives.

The disclosure, signed by Y Sathyan (Company Secretary & Compliance Officer), was submitted to both BSE Limited and the National Stock Exchange of India Limited on 11 August 2026 for information and records. The disclosure included a reference to SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026.

The order was copied to numerous officials and entities, including the Chairman and Managing Director of ITI Limited, the outgoing director Shri Arun Agarwal, other telecommunications PSUs (Bharat Sanchar Nigam Limited, Mahanagar Telephone Nigam Limited, Telecommunications Consultants India Limited), and various officials within the Ministry of Communications.
