• The Company has consummated the sale of its cement undertakings located in Rewa (Madhya Pradesh), Churk, Chunar and Sadwa (Uttar Pradesh) to Dalmia Cement (Bharat) Limited (DCBL).
• The transaction was executed pursuant to a business transfer agreement cum settlement agreement.
• Total consideration for the transaction is INR 2,850 Crores.
• The primary purpose of this transaction is to settle and bring quietus to all disputes and differences between the Company and DCBL concerning all ongoing legal proceedings between them, the pending arbitral award and/or the framework agreement executed between the parties in December 2022.
