The Board of Directors of Jay Bharat Maruti Limited, based on the recommendation of the Nomination and Remuneration Committee, approved via circulation resolution on July 31, 2026, the appointment of Mr. Krishan Kumar Jalan (DIN: 01767702) as an Additional Director in the category of Non-Executive, Independent Director of the Company. The appointment is effective from August 1, 2026.

Term of Appointment

The Board recommended his appointment as a Non-Executive, Independent Director, not liable to retire by rotation, for a term of five (5) consecutive years commencing from August 1, 2026 to July 31, 2031 (both days inclusive). This appointment is subject to approval of the shareholders of the Company at the ensuing Annual General Meeting.

Director Profile and Qualifications

Mr. Krishan Kumar Jalan is approximately 69 years old and is a retired Indian Administrative Service (IAS) officer with over 35 years of distinguished administrative experience. He served in several senior positions in the Government of Haryana and Government of India, including Additional Chief Secretary and Principal Secretary, and retired as Secretary to the Government of India, Ministry of MSME.

Educational Background

He holds a B.Sc. degree from Guru Nanak Dev University, M.Sc. in Mathematics, Master's in Development Administration, and M.Phil. in Mathematics and Public Administration.

Professional Experience

Mr. Jalan has extensive experience in public administration, governance, infrastructure, regulatory affairs, and dispute resolution. He served as Administrative Secretary of the Public Works (Buildings & Roads) and Irrigation Departments, Government of Haryana. He has significant quasi-judicial and adjudicatory experience, having decided more than 20,000 cases while serving as Chairperson/Member of the Appellate Authority in the Ministry of Textiles, Financial Commissioner (Haryana), Principal Secretary, Town and Country Planning (in appellate capacity), and earlier as a Revenue Court. He has also served as an Arbitrator in matters relating to the Union Government.

Awards and Recognition

He is the recipient of several prestigious awards including the National e-Governance Award (Gold Category) for implementation of the Universal Account Number (UAN) in EPFO, the NDTV/CISCO Award for introducing wide-ranging e-governance initiatives in EPFO, the Director's Special Award for outstanding contributions during his tenure at the Indian Institute of Public Administration (IIPA), and a Bhim Award for promotion of sports in Haryana.

Additional Activities

Mr. Jalan regularly mentors civil services aspirants and delivers lectures at various public administration institutions. He is also associated with the spiritual trust Osho Fragrance.

He has confirmed that he is not debarred or disqualified from holding office as a Director of the Company by any order of Ministry of Corporate Affairs, Securities and Exchange Board of India or any other competent authority.

Approval of the shareholders for this appointment will be sought in the ensuing Annual General Meeting of the Company.
