Voting Process and Methods
The company provided multiple voting facilities:
- Remote e-voting prior to the AGM
- E-voting (Insta-poll) during the AGM for members who had not exercised votes earlier
- E-voting facility remained open for 15 minutes post conclusion of AGM
Mr. Dhananjay Shukla (FCS 5886 & CP No. 8271), Managing Partner of M/s. Dhananjay Shukla & Associates, Company Secretaries, was appointed as Scrutinizer to scrutinize the remote e-voting process and e-voting at the AGM in a fair and transparent manner.

- Profit After Tax (PAT): ₹238.07 Crore (10.9% increase from previous year)
- Earning Per Share (EPS): ₹9.25 (8.4% increase over previous year)

The Chairman highlighted several key business developments:
- Robust order book of over 10,000 electric buses
- Single prestigious order of 1,021 e-buses valued at approximately ₹5,500 Crore
- Ongoing capital-raising plan of up to ₹40 Billion
- Expansion of JBM E-Verse platform for vertical integration
- Successful international deployments in Dubai, Jakarta, and Bali
- Commitment to achieving Net Zero Operations by 2040
Compliance and Regulatory Aspects
The meeting was conducted in compliance with:
- Applicable provisions of the Companies Act, 2013
- Relevant circular(s) issued by the Ministry of Corporate Affairs (MCA)
- Securities and Exchange Board of India (SEBI) regulations
- Requisite quorum was present as per provisions of the Companies Act, 2013
- No qualifications, observations or adverse comments in the Statutory Auditors' Report and Secretarial Auditors' Report

Post-Meeting Procedures
The Company Secretary confirmed that:
- Voting results in prescribed format as per Regulation 44(3) of SEBI Listing Regulations would be communicated to Stock Exchanges within stipulated time
