JBS SA Proposal to Acquire Remaining Pilgrim’s Pride Shares
JBS SA, the world’s largest meatpacker headquartered in Brazil, issued a formal proposal on 19 August 2026 to purchase the shares of Pilgrim’s Pride Corp that it does not already own. The offer consists of 2.086 JBS Class A shares for each Pilgrim’s Pride share, based on the closing prices on Tuesday, 19 August. This exchange rate values each Pilgrim’s Pride share at $28.49.
On the same day, JBS Class A shares closed at $13.66, while Pilgrim’s Pride traded at $28.49. Both securities experienced an approximate 1 % increase in extended trading following the announcement.
JBS currently controls roughly 82 % of Pilgrim’s Pride, which has a market capitalization of about $6.78 billion. The proposed acquisition of the remaining 18 % will require the approval of a committee of Pilgrim’s Pride independent directors as well as the consent of minority shareholders.
The announcement follows two recent strategic moves: JBS recently entered into a joint‑venture agreement with Indonesia’s sovereign wealth fund Danantara, aimed at protein‑production investments across multiple countries; and Pilgrim’s Pride disclosed a separate agreement to acquire Walker’s Deli & Sausage Company for approximately $142 million.
