Execution of Memorandum of Understanding cum Research Facility Usage Agreement

Jeena Sikho Lifecare Limited has executed a Memorandum of Understanding cum Research Facility Usage Agreement for the establishment of a dedicated Research Institute and Research Facility at Chandigarh. The agreement was executed on June 12, 2026, and the company received complete information and documentation on June 15, 2026.
The agreement is between Jeena Sikho Lifecare Limited and Mr. Rakesh Sharma and Mrs. Neerja Rakesh Sharma (Facility Providers). The purpose is to establish, operate and develop a Research Institute, Knowledge Centre, Innovation Centre, Academic Centre, Training Centre, Documentation Centre, Research Laboratory and other allied research, healthcare, education, innovation and public welfare activities from the premises situated at First Floor, Commercial Property No. 138, Sector 40-C, Chandigarh.
Significant Terms and Conditions:
- The Facility Providers have granted permission to the Company to utilize the premises for research, innovation, academic, training and allied activities
- No rent, lease rent, licence fee, occupancy charges or similar consideration shall be payable by the Company for use of the premises
- The Agreement is valid for an initial period of five years commencing from June 15, 2026 and ending on June 14, 2031
- The Company shall have operational freedom to conduct its activities and may undertake renovations, installations and infrastructure development at its own cost
- Either party may terminate the Agreement by giving three months' prior written notice
Financial Details:
No rent, lease rent, licence fee, occupation charges or similar monetary consideration is payable by the Company for use of the premises. The Company shall bear operational expenses, maintenance expenses and utility charges attributable to its activities.
Regulatory Approvals:
The disclosure is made pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and SEBI Master Circulars SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November 2024 and HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January 2026.
Strategic Rationale:
The proposed centre will focus on research, innovation, education, evidence generation and knowledge development in the fields of Ayurveda, Integrative Healthcare, Preventive Wellness and allied disciplines. The initiative is expected to strengthen the Company's research and development ecosystem and provide a platform for academic collaborations, scientific studies, publications, training programmes and innovation-driven projects.
Related Party Status:
Mr. Rakesh Sharma and Mrs. Neerja Rakesh Sharma are not related to the promoter, promoter group or group companies of the Company. The arrangement does not fall within the purview of related party transactions.
