Jetking Infotrain Limited has formally withdrawn its previously approved proposal for fundraising through preferential allotment of equity shares.

The Board of Directors, in their meeting held on July 21, 2025, had originally approved the fund raising proposal involving preferential issue of up to 4,60,000 equity shares of face value ₹10 per share at an issue price of ₹250 per equity share. This would have aggregated to ₹11,50,00,000 (₹11.5 crore).

This Proposed Preferential Issue received shareholder approval through Postal Ballot on August 20, 2025, and the company had duly intimated BSE Limited about this approval in accordance with Regulation 30 of SEBI Listing Regulations.

The company had applied for in-principle approval from BSE Limited for the proposed preferential issue, which remained pending as of the date of this disclosure.

In the Board Meeting held on November 04, 2026, the Board considered and approved the proposal to not proceed with the Proposed Preferential Issue. The decision was attributed to prevailing market conditions. The Board also approved withdrawing the application made to BSE Limited for grant of in-principle listing approval for this transaction.

The Board Meeting commenced at 2:30 p.m. and concluded at 3:36 p.m. on November 04, 2026.
