Cessation of Independent Director

Mr. Sachin Kharkia (DIN: 00884999), Non-Executive Independent Director of the Company, ceased to be a director effective close of business hours on August 28, 2026. The cessation occurred due to completion of his second and final term as a Non-Executive Independent Director. Consequently, he also ceased to be the Chairman/Member of all Board Committees effective the same date. The Board and Management expressed appreciation for his valuable contributions during his tenure.

Appointment of New Independent Director

Ms. Asha Hardikkumar Sukhadiya (DIN: 11721706) has been appointed as a Non-Executive Independent Director of the Company effective August 29, 2026. Her appointment is for a consecutive five-year term, subject to approval by members in the ensuing General Meeting.

Profile of New Director: Ms. Sukhadiya is a qualified Chartered Accountant with over a decade of experience in direct taxation, statutory audit, and financial compliance. Her expertise includes direct tax litigation, withholding tax compliance, statutory and tax audits, and practical application of FEMA and Anti-Money Laundering provisions. She has no inter se relationships with other directors/KMPs of the Company and is not debarred from holding director office by virtue of any SEBI order or other authority. She does not hold any directorships in other listed entities.

Appointment of Auditors

The Board of Directors at its meeting held on August 28, 2026, appointed:

Secretarial Auditor: M/s. Parveen Rastogi & Co., Company Secretaries (CP No. 26582), as Secretarial Auditors for the financial year 2026-27, effective August 28, 2026. The firm has extensive experience in secretarial audit of listed entities and provides professional services in corporate laws, FEMA, commercial laws, contract laws, and labour laws. The firm is peer-reviewed per ICSI guidelines.

Internal Auditor: Mr. Suresh Chand Khandelwal has been appointed as Internal Auditor for the financial year 2026-27, effective August 28, 2026. Mr. Khandelwal is a B.Com graduate who has been associated with the Jindal Group since 1986 as an employee.
