Cessation of Independent Director
Mr. Sachin Kharkia (DIN: 00884999), Non-Executive Independent Director of the Company, has completed his second and final term with effect from close of business hours on August 28, 2026. Consequently, he ceased to be the Director of the Company and Chairman/Member of the respective Committees of the Board of Directors from that date.
The Board of Directors and Management expressed deep appreciation for Mr. Kharkia's valuable contribution and guidance during his tenure.
Appointment of New Independent Director
Ms. Asha Hardikkumar Sukhadiya (DIN: 11721706) has been appointed as a Non-Executive Independent Director of the Company for consecutive five years with effect from August 29, 2026. This appointment is subject to the approval of members in the ensuing General Meeting.

Ms. Asha Hardikkumar Sukhadiya is a qualified Chartered Accountant and meticulous tax professional with over a decade of experience in direct taxation, statutory audit, and financial compliance. Her expertise spans direct tax litigation, withholding tax compliance, statutory and tax audits, and the practical application of FEMA and Anti Money Laundering provisions.
