The 19th Annual General Meeting will be held on Wednesday, 12th August 2026 at 04:00 P.M. at Vimtara, Shanti Nagar, Indravati Colony, Raipur, Chhattisgarh 492001 India, which is the registered office of the company.

Proposed Resolutions and Implications

Ordinary Business

1. To receive, consider and adopt the Standalone and Consolidated Audited Balance Sheet for the year ended 31st March 2026, the Profit and Loss account for the year ended on that date, the Director's Report and the Auditor's Report thereon through an Ordinary Resolution.

2. To re-appoint Mr. Anil Kumar Jain (DIN: 00679518) as Director who retires by rotation and is eligible for re-appointment through an Ordinary Resolution pursuant to Section 152 of the Companies Act, 2013.

Special Business

3. To appoint M/s. Abhishek Jain & Associates, Practicing Company Secretaries (COP: 14857) as Secretarial Auditors of the Company for a term of five consecutive years from 2026-27 to 2030-31 through an Ordinary Resolution pursuant to Section 204 of the Companies Act, 2013 and Regulation 24A of SEBI LODR Regulations.

4. To approve the change in designation of Mr. Abhinav Jain (DIN: 07811559) from Whole-time Director to Managing Director of the Company for a period of 5 years commencing from 16th May 2026 through an Ordinary Resolution pursuant to Sections 196, 197, 198, 203 and other applicable provisions of the Companies Act, 2013.

Voting Process and Methods

The Company is providing remote e-voting facility through Bigshare Services Private Limited as the authorized agency pursuant to Section 108 of the Companies Act 2013 and Regulation 44 of SEBI LODR Regulations 2015.

The remote e-voting period begins on Saturday, 8th August 2026 at 9:00 AM and ends on Tuesday, 11th August 2026 at 5:00 PM. The cut-off date/record date for determining voting eligibility is Wednesday, 5th August 2026.

Facility for voting through Ballot/Polling Paper will also be available at the physical meeting venue for members attending who have not already cast their vote by remote e-voting.

Scrutinizer Appointment

The Board has appointed M/s. Abhishek Jain & Associates, Practicing Company Secretaries (COP: 14857), Raipur, as Scrutinizer to scrutinize the process of e-voting.
