JSW Dulux Board Appoints Directors, Approves ESOP 2026

JSW Dulux Limited (formerly Akzo Nobel India Limited) board met on 23rd March 2026 to approve multiple governance and compensation actions.
Two new directors appointed: Kaustubh Kulkarni as Non-Executive Non-Independent Director and Sutapa Banerjee as Independent Woman Director for 3 years till 22nd March 2029.
ESOP 2026 scheme approved covering 3,75,124 equity shares, with shareholder approval to be sought via Postal Ballot (remote e-voting only).
Eight special business items, including director appointments and ESOP-related resolutions, to be put to shareholders through Postal Ballot process.
