JSW Energy Limited has completed the acquisition of additional equity shares in Toshiba JSW Power Systems Private Limited (TJPS) from Toshiba Corporation, Japan. The transaction was executed through a secondary purchase of equity shares for a total cash consideration of INR 150 Crore.
This acquisition follows the company's earlier intimation dated May 19, 2026, regarding the execution of definitive agreements for this transaction, which was subject to fulfilment of conditions under those agreements.
Shareholding Impact
Consequent to the completion of the transaction:
- The Company's shareholding in TJPS has increased to 20.7% from 4.6% on a non-diluted basis
- The Company's shareholding in TJPS has increased to 10.7% from 2.4% on a fully diluted basis
Strategic Context
TJPS is a joint venture between JSW Energy Limited, Toshiba Corporation, and JSW Steel Limited. The company operates a state-of-the-art manufacturing facility in Chennai that manufactures large-sized supercritical/ultra-supercritical steam turbine generators ranging up to 1,000 MW.
The acquisition represents a strategic step towards:

Existing Business Relationship
The Company has already placed orders for 1,600 MW of ultra-supercritical turbine-generators with TJPS, which enhances the Company's visibility and access over critical equipment supply chain.
