JTL Defence Limited has submitted a regulatory disclosure to BSE Limited regarding the approval received for shifting its registered office. This intimation is made pursuant to Regulation 30 of the SEBI (LODR) Regulations, 2015.
The company had previously intimated about this proposed shift on June 03, 2026. The Hon'ble Regional Director, Northern Region-I, New Delhi has now approved the shifting of the registered office from the National Capital Territory of Delhi, ROC Delhi II to the State of Himachal Pradesh, ROC, Shimla.
The approval order (ID: Sec 13(4)/ROC Delhi II/AC4842491/RD Delhi/2026) was issued on September 07, 2026. The application for this change was originally filed in eForm INC-23 under Section 12(5) & 13(4) of the Companies Act, 2013 read with Rule 28 and 30 of the Companies (Incorporation) Rules, 2014, with SRN AC4842491 dated July 24, 2026.
The stated rationale for the relocation is that the company's corporate office, manufacturing facility, key managerial personnel, and core management functions are already based in and around Baddi, Himachal Pradesh, Chandigarh, and Punjab, where all strategic and operational decisions are undertaken. The move is expected to enable better administrative control, operational efficiency, regulatory compliance, and corporate governance.
The order specifies that the shift is approved subject to the condition that a copy of the order must be filed with the Registrar of Companies at B-2 Wing, 2nd floor, Pt. Deendayal Antyodaya Bhawan, 2nd floor, CGO Complex, New Delhi, 110003 within 30 days.
The company is currently in the process of filing the necessary e-forms with the Registrar of Companies and will inform the stock exchanges of the effective date of the shifting once determined.
