The Board of Directors, on the recommendation of the Nomination Remuneration and Compensation Committee, has approved an amendment to the Jubilant Ingrevia Employee Stock Option Plan 2021 (ESOP Plan).

The key amendment is an increase in the ESOP Pool from 20,00,000 (twenty lakh) Stock Options to 30,00,000 (thirty lakh) Stock Options. This represents an increase of 10,00,000 options (a 50% expansion).

These options are exercisable into an equivalent number of equity shares of the Company (30,00,000 equity shares), which constitutes 1.88% of the paid-up share capital of the Company as on September 30, 2026.

The exercise price for these options shall not be less than the face value and not more than the Market Price of Shares on the Grant Date, as set out in the Grant Letter.

The exercise period shall not exceed 5 (five) years from the vesting date.

This amendment is subject to the approval of the members (shareholders) of the Company.

Other Significant Information:

Rationale for ESOP Pool Expansion: The amendment was proposed due to the utilization of the existing pool and the Company's future requirements relating to talent retention, leadership succession, employee engagement, and strategic hiring. The available pool was deemed inadequate to support the Company's long-term growth and human capital objectives.

The expansion aims to ensure the continued availability of stock options for grant to eligible employees, strengthen the alignment between employee performance and shareholder value creation, and maintain competitiveness with industry peers.

Full details of the amendment will be disclosed at the time of seeking approval from the shareholders of the Company.
