Kajaria Ceramics Limited has completed the acquisition of 44,11,764 Compulsorily Convertible Preference Shares (CCPS) of ₹10 each in Kajaria Bathware Private Limited (KBPL), its wholly-owned subsidiary. The acquisition was made from Aravali Investment Holdings, Mauritius, a wholly-owned subsidiary of WestBridge Crossover Fund, LLC, for a cash consideration of ₹50 Crores.

The transaction was executed pursuant to a Shareholders' Agreement (SHA) dated June 4, 2018, which required the Company to provide an exit option to Aravali either through listing of KBPL's equity shares or by purchasing the CCPS. With this acquisition, Aravali has ceased to be a shareholder/CCPS holder of KBPL, and the SHA has been terminated as the Company now holds 100% of both equity shares and CCPS of KBPL.

The acquisition did not constitute a related party transaction, and no governmental or regulatory approvals were required for this transaction.
