Investment in Solar and Wind Power Generation

The Board of Directors of Kajaria Ceramics Limited, in their meeting held on July 31, 2026, approved an investment of up to ₹12.15 Crores in the equity shares of Sunsure Solarpark Fourty Three Private Limited. This investment is for the purpose of solar and wind power captive consumption, as required under the provisions of the Electricity Act, 2003.
Subsequently, the Company entered into a Shareholders' Agreement on September 2, 2026. The parties to the agreement are:
1. Kajaria Ceramics Limited ('Company')
2. Sunsure Energy Private Limited ('Promoter of Sunsure')
3. Sunsure Solarpark Fourty Three Private Limited ('Sunsure')
The primary purpose of the agreement is to facilitate the generation and supply of solar and wind power to the Company's manufacturing plants located in Gailpur and Malootana, Rajasthan. The strategic rationale is to reduce the power costs at these plants by shifting towards cost-effective and environmentally friendly energy sources.
The Company will make its investment of up to ₹12.15 Crores in tranches. Kajaria Ceramics currently holds no shareholding in Sunsure Solarpark Fourty Three Private Limited.
Significant terms of the Shareholders' Agreement include:
- Sunsure will be managed by its own Board of Directors.
- The appointment or removal of any Director of Sunsure will be made by Sunsure Energy Private Limited (the Promoter).
- The Promoter will also appoint all Key Managerial Personnel, including the Chairman, Chief Executive Officer, and Chief Financial Officer of Sunsure.
- Any transfer of shares of Sunsure by Kajaria Ceramics will be governed by the provisions of the Shareholders' Agreement.
- The agreement will remain valid for the duration of the associated Power Purchase Agreement.
The transaction is confirmed not to be a related party transaction and is conducted at arm's length.
