- Resolution Type: Special Resolution
- Purpose: To raise funds through issuance of securities via multiple permissible modes
- Permissible Modes: Qualified Institutions Placement (QIP), Foreign Currency Convertible Bonds (FCCB), External Commercial Borrowings (ECB), or any other permissible modes
- Maximum Amount: USD 65 Million (US Dollar 650,00,000) or equivalent in Indian Rupees or other foreign currencies
- Securities Types: Equity shares, preference shares, FCCBs, GDRs, ADRs, or any other financial instruments/securities convertible into equity shares
- Tranches: May be issued in one or more tranches
- Pricing: To be determined by Board or authorized committee based on relevant date of meeting deciding to open the issue
- Ranking: Securities to rank pari passu with existing securities
- Authorization: Board authorized to determine all terms including timing, investors, number of securities, issue price, interest rate, discount, redemption terms

- NRI/OCI Limit Increase: From current 10% to 24% of total paid-up equity share capital
- FPI Limit Increase: From current 24% to sectoral cap percentage of total paid-up equity share capital
- Regulatory Framework: Subject to Foreign Exchange Management Act, 1999 and Foreign Exchange Management (Non-debt Instruments) Rules, 2019
