Item 3: Re-appointment of Director
Re-appointment of Mr. Narendra Kumar Lodha (DIN: 00318630) as Director liable to retire by rotation. Mr. Lodha has been associated with Kalpataru Group since 1988 and serves as Executive Director with expertise in business development and strategic project initiatives.

Item 4: Ratification of Cost Auditor Remuneration
Ratification of remuneration payable to Cost Auditor Messrs. V. B. Prabhudesai & Co. (Firm Registration No. 100139) for FY 2026-27 amounting to ₹1,75,000 plus applicable taxes and reimbursement of out-of-pocket expenses.
Item 5: Appointment of Secretarial Auditors
Appointment of Messrs. Rathi & Associates, Company Secretaries (ICSI Firm Registration No. P1988MH011900) as Secretarial Auditors for a term of 5 consecutive years from FY 2026-27 to FY 2030-31. Remuneration for FY 2026-27 shall not exceed ₹3,50,000 excluding applicable taxes and out-of-pocket expenses.
Item 6: Commission to Independent Directors
Approval for payment of commission/remuneration to Independent Directors with an overall limit not exceeding ₹2,00,00,000 per annum collectively for three financial years commencing from FY 2025-26. This is in addition to sitting fees and reimbursement of expenses.
Item 7: Asset Transactions of Material Subsidiary KPL
Approval for sale, disposal and/or leasing of assets of Kalpataru Properties Limited (KPL), a material subsidiary, exceeding 20% of its assets on aggregate basis during a financial year. This is in connection with proposed issuance of secured, rated, listed, redeemable Non-Convertible Debentures aggregating up to ₹1,750 Crore.
Item 8: Related Party Transaction - Shortfall Undertaking
Approval for material related party transaction involving provision of shortfall undertaking by Mr. Parag M. Munot (Managing Director and Promoter) in favour of Standard Chartered Bank for term loan facilities availed by the Company. The amount involved is up to ₹395,00,00,000 in connection with funding for projects 'Kalpataru Advay' (₹210 crores) and 'Kalpataru Amare' (₹185 crores).
Item 9: Related Party Transaction - Personal Guarantee
Approval for material related party transaction involving provision of personal guarantee by Mr. Parag M. Munot in favour of investors/lenders securing NCDs aggregating up to ₹1,750 Crore proposed to be issued by Kalpataru Properties Limited (KPL).
