Dividend Details
The Board of Directors recommended a Final Dividend of ₹10 per equity share of ₹5 each (200%) for FY 2025-26 at their meeting held on May 8, 2026. This dividend is subject to approval by shareholders at the 53rd Annual General Meeting (AGM).

Banking Details Update Mandatory
SEBI regulations mandate that all dividend payments must be made exclusively through electronic means. Shareholders must update their bank account details:
- For demat holdings: Update with Depository Participant
- For physical holdings: Update with MUFG Intime India Private Limited (Company's RTA) along with PAN, mobile number, email ID, bank details, specimen signature, and nomination
TDS Provisions for Resident Shareholders
- Standard Rate: 10% TDS under Section 393(1) read with 393(4) of Income Tax Act, 2025 for shareholders with valid PAN
- Higher Rate: 20% TDS under Section 397(2) for shareholders without PAN/invalid PAN/PAN not linked with Aadhaar
- Exemptions: No TDS if:
- Total dividend during Tax Year 2026-27 does not exceed ₹10,000
- Shareholder provides Form 121 (all fields mandatory)
- Exemption certificate issued by Income-tax Department
TDS for Resident Non-Individual Entities
No TDS applicable upon submission of required documents:
- Insurance Companies: Self-declaration of qualifying as 'Insurer' under Insurance Act, 1938 + PAN + IRDA registration
- Mutual Funds: Self-declaration of SEBI registration + PAN + SEBI registration certificate
- AIFs: Self-declaration of SEBI registration + PAN + AIF registration certificate
- NPS Trust: Self-declaration of qualifying as NPS trust + PAN
- Other non-individuals: Documentary evidence supporting exemption + PAN
TDS for Non-Resident Shareholders
- Domestic Law Rate: 20% (plus applicable surcharge and cess) under Section 393(2)
- DTAA Benefit Option: Non-residents can opt for DTAA provisions if more beneficial by submitting:
- PAN or details under Rule 217 (Annexure 3)
- Tax Residency Certificate (TRC) for 2026-27/2026
- Form 41 for TY 2026-27
- Treaty eligibility and beneficial ownership declaration (Annexure 4)
- SEBI registration certificate (for FIIs/FPIs)
- Singapore residents: Evidence demonstrating non-applicability of Article 24 limitation
Other Provisions
- Lower Withholding: Possible with certificate under Section 395 of the Act
- Rule 203 Benefit: For intermediaries/stock-brokers holding shares for beneficial members, declaration required within 2 days from record date (Annexure 5)
- Residential Status: Must be correctly updated with DP/RTA as TDS rates vary for resident/non-resident
- PAN-linked Holdings: Highest applicable TDS rate will be applied to entire shareholding linked to a PAN if multiple accounts with different categories exist
Document Submission
All required forms and documents for TY 2026-27 must be submitted:
- Platform: RTA's website at https://web.in.mpms.mufg.com/formsreg/submission or email to tdsforms@kalyanisteels.com
- Deadline: Friday, July 31, 2026 (no extensions)
- Consequence: Incomplete/unsigned/late submissions will not be considered
TDS Certificate and Refunds
- Tax credit available in Form 168 on TRACES portal or Income Tax e-filing website
- No claims against Company for higher TDS deductions - refunds must be claimed via Income Tax Return
- Shareholders indemnify Company against any income tax demands arising from declaration inaccuracies
