Kanungo Financiers Limited has issued a corrigendum to its Extra-Ordinary General Meeting (EOGM) notice dated 24th July 2026. The EOGM is scheduled for Friday, 21st August 2026 at 3:00 PM IST through Video Conferencing/Other Audio-Visual Means.

The corrigendum contains clerical/inadvertent error corrections specifically in Item No. 4 and its Explanatory Statement regarding a preferential issue of equity shares.   • Acquisition of 11,18,150 equity shares (19.50% stake) of Startech Infralogistics Private Limited (SIPL) for aggregate consideration of ₹42,48,97,000
  • Payment through share swap issuance and allotment of 2,12,44,850 equity shares of the company at ₹20 per share
  • Acquisition of equity shares from persons/entities holding shares in SIPL and Peepal Mining and Logistics Private Limited (PMLPL) for aggregate consideration of ₹38,83,44,800
  • Payment through share swap issuance and allotment of 1,94,17,240 equity shares of the company at ₹20 per share
  • Total issue: 4,06,62,090 equity shares of face value ₹10 each at issue price of ₹20 per share (including premium of ₹10 per share) for consideration other than cash (share swap basis)

2. Lock-in Period and Allottee Status:

  • Equity shares issued shall be subject to lock-in as specified under Chapter V of SEBI ICDR Regulations or longer period under Definitive Agreement
  • Post-preferential issue, there will be no change in promoters - promoters will remain same

The corrigendum forms an integral part of the original EOGM notice and will be available on the company's website, BSE Limited website, and NSDL website. All other contents of the original notice dated 24th July 2026 remain unchanged and valid.
