Key Strategic Development: Proposed Merger
The Board of Directors has approved, in principle, the proposed merger of KD Green Industries Limited and KD Iron & Steel Private Limited. This approval is subject to completion of due diligence, statutory approvals, regulatory clearances and other necessary approvals. The merger aims to consolidate KD Group's green construction materials businesses under a single listed entity.
Group Structure and Business Portfolio
KD Green Industries Ltd. serves as the BSE-listed entity for KD Group with the following business interests:
- Holds 100% ownership in Green AAC Blocks business
- Holds 26% stake in Vehicle Scrappage business (KD Ecosystem)
- Holds 51% stake in XTech Pipes & poles business (Shivam Pipes)
The company will become KD Group's flagship and only entity for these sustainable and green construction material businesses.
KD Iron & Steel Business Expansion
KD Iron and Steel is undertaking a substantial expansion with a total project outlay of ₹325 Crore. The expansion includes:
- Capacity expansion of TMT Bars
- Captive solar power plant of 25MW capacity
- Post-expansion furnace capacity increase of 2.67 times
The current manufacturing capacities are:
- Furnace Capacity: 90,000 MT annually
- Rolling Capacity: 99,000 MT annually
Government Support and Incentives
The company has received approval for incentives from the Government of Assam aggregating approximately ₹600 Crore over the next 15 years. This incentive package supports long-term growth and expansion.
Shivam Pipes Business Update
Shivam Pipes has received major orders under the Revamped Distribution Sector Scheme (RDSS) to support power distribution infrastructure across rural India. The present manufacturing capacity is 3,000 MT per month for MS Pipes, Galvanized Pipes, Transmission Structures, and Utility Infrastructure Products. The company is already registered with north eastern electricity boards as an approved supplier including under RDSS.
Green AAC Blocks Business
Green AAC Blocks, owned by BR Metallics and 75% owned by KD Green Industries, has a manufacturing capacity of 1.2 Lakh CM per annum. The business uses eco-friendly dredging of the Brahmaputra River for raw material sourcing instead of excavating fertile land.
KD Infrastructures Setup
KD Infrastructures Private Limited is in process of setting up a specialized steel fabrication facility with planned annual capacity of 25,000 MT. The facility will offer comprehensive turnkey fabrication solutions across construction, energy, utilities, transportation, and urban development sectors.
KD Ecosystem Vehicle Scrappage
KD Ecosystem operates a Registered Vehicle Scrapping Facility (RVSF) since November 2023 with installed capacity to dismantle up to 42,500 end-of-life vehicles annually. This facility serves as backward integration for KD Group's Steel business by providing metal scrap raw material.
