The meeting was conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in accordance with Circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India (SEBI).
Shri Harsh R Kilachand, Chairman & Managing Director of the Company, chaired the meeting. All Directors of the Company were present through VC, along with authorized representatives of the Audit Committee, Nomination & Remuneration Committee, Stakeholders' Relationship Committee, and Key Managerial Personnel (KMPs).
Representatives from Statutory Auditors M/s. Chandabhoy & Jassoobhoy, Chartered Accountants and Secretarial Auditors M/s. Dhrumil M Shah & Co., LLP, Company Secretaries were also present through VC.
The Company provided remote e-voting facility through MUFG intime India Private Limited for all resolutions. Members who had not cast votes remotely could vote during the meeting and until 30 minutes after the conclusion of proceedings.
The Chairman informed members that the Statutory Auditors' Report on Financial Statements for Financial Year 2025-26 contained no qualifications or adverse remarks. However, the Secretarial Audit Report for Financial Year 2025-26 contained certain observations, which were read out to members along with explanations provided in the Directors' Report.
The Chairman delivered his speech, with a copy placed on the Company's website.
Resolutions Considered
Four resolutions were taken up for consideration:
1. Ordinary Resolution: Adoption of the audited Balance Sheet as at 31st March 2026 and Statement of Profit & Loss for the period ended on that date together with the Reports of Board of Directors and Auditors thereon
2. Ordinary Resolution: Appointment of Shri Devendra J Shah as Director, who retires by rotation and being eligible, offers himself for re-appointment
3. Ordinary Resolution: Ratification of remuneration to Shri Rishi Mohan Bansal, Cost Auditor of the Company for Financial Year 2026-27
4. Ordinary Resolution: Approval on Material Related Party Transactions with Kesar Terminals & Infrastructure Limited
Registered members addressed the meeting through VC/OAVM and sought clarifications on the Company's accounts, business, and items in the Notice, to which the Chairman responded.
The Board of Directors appointed Mr. Dhrumil M Shah representing M/s. Dhrumil M Shah & Co. LLP, Practicing Company Secretaries, as scrutinizer to supervise the e-voting process.
Mr. Gaurav Sharma, Company Secretary & VP (Legal & HR), was authorized to declare the voting results within the statutory period and place them on the Company's website.
The meeting concluded at 4:08 p.m., including the 30-minute period allowed for members to cast votes electronically after the proceedings.
