Meeting Details

The 35th Annual General Meeting of Equity Shareholders was held on 24th September, 2026 at 12:00 noon through Video Conference (VC) or Other Audio Visual Means (OAVM). The meeting was called through a notice dated 6th August, 2026 issued in accordance with General Circular Nos. 14/2020, 17/2020, 20/2020, 9/2024, 03/2025 dated 8th April, 2020, 13th April, 2020, 5th May, 2020, 19th September, 2024 and 22nd September, 2025 respectively from Ministry of Corporate Affairs, and Circular No. SEBI/HO/CFD/PoD-2/P/CIR/2024/133 dated 3rd October, 2024 from Securities and Exchange Board of India.

Proposed Resolutions

Two ordinary resolutions were put to vote:

1. Ordinary Resolution 1: To receive, consider and adopt the Standalone and Consolidated Financial Statements of the Company for the year ended March 31, 2026 including the Audited Balance Sheet as on March 31, 2026 and the Statement of Profit and Loss Account for the financial year ended March 31, 2026 together with the report of the Directors and Auditors thereon.

2. Ordinary Resolution 2: To appoint a director in place of Mr. Dinesh P. Jain (DIN: 00327277) who retires by rotation and being eligible, offers himself for re-appointment.

Voting Process and Methods

The voting was conducted through two methods:

  • Remote e-voting: Conducted through MUFG Intime India Limited (MUFG), the Registrar and Transfer Agent engaged by the Company. The remote e-voting period was from 21st September, 2026 (9:00 am) to 23rd September, 2026 (5:00 pm).
  • E-voting at AGM: Conducted during the 35th Annual General Meeting on 24th September, 2026 for shareholders who had not cast their votes through remote e-voting.

The cut-off date for determining shareholders eligible to vote was 17th September, 2026.

Scrutinizer's Role and Findings

Ummedmal Jain, Company Secretary in Practice and Proprietor of M/s. U. P. Jain & Co., Company Secretaries, was appointed as Scrutinizer by the Board of Directors in their meeting held on 6th August, 2026. The scrutinizer's responsibility was limited to making a consolidated report of votes cast for or against the resolutions based on reports generated from the e-voting system provided by MUFG Intime India Limited. The scrutinizer verified the data on a test check basis.

Compliance Confirmation

The voting process was conducted in compliance with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, and relevant SEBI and MCA circulars. All votes received through electronic voting system have been entered in a separately maintained register.

Additional Information

The report states that it is issued solely for submission to stock exchanges, placing on the company's website, and website of MUFG. It is not to be used for any other purpose or distributed to any other parties without prior written consent. All voting records and papers remain in the scrutinizer's custody until the Chairman considers, approves and signs the minutes of the AGM, after which they will be handed over to the Chairman/Company Secretary for safe keeping.
