Ordinary Business:
1. Adoption of Financial Statements (including consolidated financial statements) for the financial year ended March 31, 2026, and reports of the Board of Directors and Auditors thereon (Ordinary Resolution)
2. Re-appointment of Ms. Dandamudi Anitha (DIN: 00025480), who retires by rotation and offers herself for re-appointment as Director (Ordinary Resolution)
Special Business:
3. Ratification of remuneration payable to Cost Auditors, M/s. Sagar & Associates, for financial year 2026-27 (Ordinary Resolution)
4. Approval for granting loans/giving guarantees or providing securities under section 185 of the Companies Act, 2013 (Special Resolution)
5. Approval of overall limits under section 186 for Loans/Guarantees/Securities/Investments by the Company (Special Resolution)
Voting Process
The Company provided members facility to cast votes electronically on all resolutions. Members who had not cast votes electronically were given opportunity to vote during the meeting through e-voting system. There was no voting by show of hands.
Additional Information
The meeting was conducted in compliance with General Circulars issued by Ministry of Corporate Affairs and SEBI circulars, and applicable provisions of Companies Act, 2013. The AGM was recorded. Shareholders were provided facility to ask questions or express views through VC, audio, and web chat options, with clarifications provided to queries.
