Key Decisions Approved

The Board of Directors of Knack Packaging Limited approved taking on sub-lease of factory land and building situated at Block No. 1688 (Old Block No. 273), Village Hajipur, Taluka Kalol, District Gandhinagar – 382721 from Dayana Polyplast Limited. The approval is subject to obtaining consent of the original lessor wherever applicable.

The Board also approved taking on lease the plant and machineries installed at the same premises from Dayana Polyplast Limited on mutually agreed commercial terms.

Authorization

Mr. Alpesh Patel (Chairman & Managing Director), Mr. Rashmin Patel (Whole-time Director), and/or Mr. Pravin Patel (Whole-time Director) were authorized severally to negotiate, finalize, and execute the Sub-Lease Agreement, Lease Agreement for Plant & Machineries, and all related documents. They were further authorized to undertake all necessary acts to give effect to the transaction.

Capacity Enhancement Details

The transaction results in enhancement of the Company's manufacturing capacity with the following specifics:

  • Existing Capacity: 43,300 MT per annum
  • Existing Capacity Utilization: 81.63%
  • Proposed Capacity Addition: 5,040 MT per annum
  • Implementation Timeline: Immediately upon execution of agreements and receipt of necessary approvals/consents, including consent of the original lessor wherever applicable, and commencement of commercial operations
  • Investment Required: No capital expenditure towards acquisition of land, building or plant & machinery. Only lease rentals, security deposit (if any), installation, commissioning and refurbishment expenses shall be incurred
  • Mode of Financing: Internal accruals and/or working capital facilities
  • Rationale: Enhancement of manufacturing capacity, meeting increasing customer demand, improving operational efficiency, optimizing production timelines, strengthening market presence and supporting future business expansion without significant capital expenditure
