5. To enter into material related party transactions with M/s KNRHC Baidyanath Banhardih Coal Mine Private Limited: This is a subsidiary of KNR Constructions. The resolution seeks approval for contracts/arrangements/transactions for an aggregate value not exceeding ₹3,552.43 Crores (excluding GST). The purpose is for the supply of services to execute the project of Mine Developer cum Operator for Development and Operation of Banhardih Coal Mining Block in Jharkhand. The tenure is 7 years, with an estimated break-up of ₹100 Crores in the 1st year and ₹575.405 Crores per annum for the subsequent 6 years. This transaction represents 155.37% of the company's annual consolidated turnover for the preceding financial year.
6. To enter into material related party transaction(s) with M/s KNR-SIML (JV): This is a joint venture where KNRCL holds a 51% share. The resolution seeks approval for contracts/arrangements/transactions for an aggregate value not exceeding ₹3,311.71 Crores (excluding GST), comprising ₹1,714.17 Crores (Excluding GST) directly and ₹1,597.54 Crores (Excluding GST) to be done on a back-to-back basis from the JV partner, M/s Sushee Infra Mining Limited (SIML). The purpose is for the supply of services to execute mining works awarded by Southern East Coal Fields Limited in Kusmunda, Chhattisgarh. The tenure is 8 years, with an estimated break-up of ₹200 Crores in the 1st year and ₹216.31 Crores per annum for the subsequent 7 years. This transaction represents 63.53% of the company's annual consolidated turnover for the preceding financial year.
