KNR Constructions Limited has completed the transfer of its entire equity share capital in subsidiary company KNR Ramanattukara Infra Private Limited (SPV/KRIPL) to Indus Infra Trust (Purchaser).
Transaction Details:
- The Company had invested ₹225.72 crore in KRIPL (in the form of Equity and Subordinated Debt)
- Consideration received from Purchaser: ₹549.14 Crore
- Share Purchase Agreements were executed on December 24, 2025
- Transaction completion date: October 5, 2026
- KRIPL ceased to be subsidiary of the Company effective October 5, 2026
Financial Impact Assessment:
As of March 31, 2026, KRIPL contributed:
- Turnover: ₹257.40 crore (9.54% of consolidated turnover)
- Net worth: ₹430.22 crore (8.65% of consolidated net worth)
The transaction represents a significant return on investment, generating approximately ₹323.42 crore over the original investment of ₹225.72 crore.
Buyer Information:
Indus Infra Trust is a publicly listed infrastructure investment trust, registered with SEBI under SEBI (Infrastructure Investment Trusts) Regulations, 2014. The Trust is established to acquire, manage and invest in a portfolio of infrastructure assets across sectors and/or securities of companies engaged in infrastructure sector. The Purchaser does not belong to the promoter/promoter group/group companies.
