Dividend Declaration

  • The Board of Directors at its meeting held on May 6, 2026, recommended a final dividend at the rate of 5% i.e. ₹0.25 per equity share and Special Dividend of ₹0.15 per equity share, totaling ₹0.40 per equity share of face value ₹5 for FY 2025-26.
  • The dividend will be paid to shareholders whose names appear in the Register of Members or in depository records as beneficial owners as on the record date of September 22, 2026.
  • Dividend payment is subject to approval by shareholders at the ensuing Annual General Meeting.

Tax Deduction at Source (TDS) Provisions

For Resident Shareholders:

  • TDS at 10% under Section 393(1) read with 393(4) of Income-tax Act, 2025 where shareholders have valid PAN.
  • TDS at 20% under Section 397(2) if no PAN/invalid PAN/PAN not linked with Aadhaar.

Resident Individuals:

  • No TDS if total dividend during Tax Year 2026-27 does not exceed ₹10,000.
  • No TDS if shareholder provides Form 121 (for dividend exceeding ₹10,000, requiring shareholding exceeding 25,000 shares).
  • No TDS if exemption certificate issued by Income-tax Department is provided.

Resident Non-Individuals:

  • No TDS for Insurance Companies, Mutual Funds, Alternative Investment Funds (AIF), Business Trusts (ReIT/InVIT) upon submitting specified self-declarations and documents.
  • Other non-individual shareholders must submit self-attested documentary evidence supporting exemption along with PAN card copy.
  • Lower/NIL TDS rates apply if certificate under Section 395(1) of the Act is provided.

For Non-resident Shareholders:

  • TDS at 20% plus applicable surcharge and cess under Section 393(2) of the Act.
  • DTAA benefits available upon submission of: PAN card copy, Tax Residency Certificate (TRC) for 2026-27, Form 41 for TY 2026-27, self-declaration of treaty eligibility, and SEBI registration certificate for FIIs/FPIs.
  • For Singapore tax residents, additional evidence demonstrating non-applicability of Article 24 of India-Singapore DTAA required.

Global Depositary Receipt (GDR) Holders:

  • TDS at 10% plus surcharge and cess if PAN provided; 20% plus surcharge and cess if no PAN.

Submission Requirements and Deadlines

  • All tax-related documents must be submitted on or before Monday, September 21, 2026 (cut-off period).
  • Documents can be submitted physically to Bigshare Services Pvt. Ltd. at Office No. S6-2, 6th Floor, Pinnacle Business Park, Next to Ahura Centre, Mahakali Caves Road, Andheri (East), Mumbai – 400093.
  • Scanned copies can be emailed to cs@kpgroup.co and tds@bigshareonline.com.
  • Documents submitted after cut-off date will be accepted at company's sole discretion.

Additional Provisions

  • PAN-Aadhaar linkage mandatory under Section 262 of the Act; non-linked PAN deemed invalid/inoperative attracting 20% TDS.
  • Declaration under Rule 203 required if dividend income assessable in hands of person other than deductee.
  • For shareholders with multiple accounts under different status/category with single PAN, higher applicable tax rate will be applied on entire holding.
  • Dividend will be paid only through electronic mode as per SEBI Notification dated November 18, 2025.
  • Shareholders in physical form must register PAN and KYC details with Company/RTA.
  • Demat shareholders must update bank details with their Depository Participants.
