KPIT Technologies Limited held its 9th Annual General Meeting (AGM) on Monday, August 31, 2026, at 10:30 a.m. IST through Video Conferencing and Other Audio Visual Means (VC/OAVM). The deemed venue was the Registered Office of the Company at Plot No. 17, Rajiv Gandhi Infotech Park, MIDC-SEZ, Phase-III, Maan, Taluka-Mulshi, Hinjawadi, Pune - 411057, Maharashtra, India.

Mr. Anant Talaulicar chaired the meeting and commenced by expressing profound sorrow over the passing of Mr. S. B. (Ravi) Pandit, Co-founder and Promoter of the Company, with members observing a minute of silence. The meeting had 82 members in attendance through VC/OAVM, constituting valid quorum.

Business Transacted

The following resolutions were considered and approved:

Ordinary Resolutions:

1. Adoption of Audited Standalone Financial Statements for FY ended March 31, 2026, with reports of Board of Directors and Auditors

2. Adoption of Audited Consolidated Financial Statements for FY ended March 31, 2026, with report of Auditors

3. Declaration of final dividend of ₹5.25 per equity share of ₹10 each (52.5%) for FY 2025-26. This is in addition to the interim dividend of ₹2.25 per equity share (22.5%) already paid, bringing the total dividend for FY26 to ₹7.50 per share (75% payout)

4. Reappointment of Mr. Kishor Patil (DIN: 00076190) as Director who retired by rotation

5. Reappointment of Mr. Anup Sable (DIN: 00940115) as Whole-time Director for 5 years from December 22, 2026, to December 21, 2031

6. Reappointment of Mr. Chinmay Pandit (DIN: 07109290) as Whole-time Director for 5 years from July 26, 2027, to July 25, 2032

7. Appointment of Dr. Nirmala Pandit (DIN: 03621715) as Non-Independent Non-Executive Director for 3 years from July 29, 2026, to July 28, 2029
