Dividend Declaration
- Final dividend recommended @ ₹1.50 per equity share of face value ₹10/- for Financial Year 2025-26
- Dividend subject to approval by members at the 25th Annual General Meeting scheduled for Tuesday, September 22, 2026
- Record date fixed as Friday, September 11, 2026
- Dividend will be paid within statutory timeframe if declared at AGM
Tax Deduction at Source (TDS) Requirements
For Resident Shareholders:
- TDS applicable under Section 393(1) of Income Tax Act, 2025
- Individuals/HUF/Indian Company/AOP/BOI/Trust: 10% TDS if aggregate dividend exceeds ₹10,000/- and PAN provided
- 20% TDS if no PAN/invalid PAN/inoperative PAN
- Exemption available for resident individuals claiming exemption with Form 121 declaration and PAN card
- Specific exemptions for:
- Insurance companies (Section 393(4)) with declaration, PAN, and IRDAI registration
- Mutual Funds (Schedule VII(20)) with declaration, PAN, and SEBI registration
- Alternative Investment Funds (Schedule V(1)) with declaration, PAN, and SEBI registration
- NPS Trust (Schedule VII(41)) with declaration, PAN, and PFRDA registration
- Corporations under Section 393(5) with appropriate documentary evidence
For Non-Resident Shareholders:
- TDS applicable under Section 393(2) of Income Tax Act, 2025
- FIIs/FPIs: 20% TDS plus applicable surcharge and cess, with declaration of investment route and SEBI registration
- Other non-residents: 20% TDS plus applicable surcharge and cess
- Lower treaty rates available with Tax Residency Certificate, Form 41 acknowledgement, and self-declaration covering:
- Eligibility for treaty benefits considering Principal Purpose Test
- Beneficial ownership of dividend income
- No Permanent Establishment/fixed base in India
Additional Provisions
- Lower withholding tax certificates under Section 395 accepted if valid for April 1, 2026 to March 31, 2027 and covering dividend income
- Eligible IFSC units exempt from TDS under Section 400(1) with Form 1 as per CBDT Notification No. 28/2024
- Shareholders with multiple accounts under same PAN subject to TDS at highest applicable rate on aggregate holding
- Custodian shareholders may provide declaration under Rule 203 of Income Tax Rules, 2026 to transfer credit to beneficial owners
Shareholder Information Requirements
- Shareholders classified based on depository/registrar records (NSDL/CDSL/MUFG Intime India Private Limited)
- Demat holders must update tax residential status, legal entity status, PAN, email, mobile through depository participants
- Physical shareholders must provide details to RTA: MUFG Intime India Private Limited
- Bank account details must be updated with DP for demat shares or with RTA for physical shares using Forms ISR1, ISR2, SH13
- Physical dividend instruments discontinued per SEBI Regulation 12 amendment effective November 19, 2025
Submission Deadlines and Procedures
- All declarations/documents (except bank details) must be uploaded to https://web.in.mpms.mufg.com/formsreg/submission-of-Form-121-41.html
- Absolute deadline for submission: Tuesday, September 8, 2026
- No communications regarding tax determination/deduction accepted after deadline
- Shareholders responsible for any tax demands arising from misrepresentation or omission
- TDS credits visible in Form 168 available from income tax e-filing portal
