Item 1: Adoption of Financial Statements

Item 2: Declaration of Dividend
To declare a dividend of ₹2.50 (i.e., 250%) per equity share of face value ₹1 each for the financial year 2025-26, as recommended by the Board, to be paid to eligible members on the Record Date.
Item 3: Re-appointment of Director
To re-appoint Shri Jagesh Kumar Khaitan (DIN: 00026264), a Director retiring by rotation, as a Director of the Company.

Item 4: Ratification of Cost Auditor Remuneration
To ratify and approve the payment of remuneration of ₹200,000 (Rupees Two Lakhs) plus GST and reimbursement of actual out-of-pocket expenses to M/s R.J. Goel & Co., Cost Accountants, Delhi (Firm Registration No. 000026), for conducting the cost audit for the financial year 2026-27. The Board had already approved this appointment based on the Audit Committee's recommendation.
Item 5: Re-appointment of Vice Chairman & Managing Director
To pass a Special Resolution for the re-appointment of Shri Pavan Khaitan (DIN: 00026256) as Vice Chairman & Managing Director for a further period of three years, commencing April 1, 2027, to March 31, 2030, on the following terms and conditions:
- Salary: Basic salary of ₹36,00,000 per month (Rupees Thirty Six Lakhs) effective April 1, 2027, within a grade of ₹36,00,000 — ₹39,00,000 — ₹42,00,000 per month.
- Perquisites and Allowances: Entitled to perquisites and allowances (e.g., furnished accommodation or HRA, utilities, medical reimbursement, car, club membership) capped at an amount equal to 60% of the annual salary. The overall value of perquisites and allowances is restricted to an amount equal to the annual salary.
- Commission: Entitled to a commission not exceeding 2.5% of the profits calculated under Section 198 of the Companies Act, 2013, as determined by the Board, payable quarterly/half-yearly/yearly.
- Other Terms: Not entitled to sitting fees for Board/Committee meetings. Not liable to retire by rotation.
- The resolution seeks approval for paying this remuneration as minimum remuneration, even in case of loss or inadequacy of profits or if it exceeds limits under Section 197 of the Companies Act, 2013 or Regulation 17(6)(e) of SEBI LODR.
