Ordinary Business

1. To receive, consider, and adopt:

  • The Audited Standalone Financial Statements for the financial year ended March 31, 2026, with the reports of the Board of Directors and Auditors.
  • The Audited Consolidated Financial Statements for the financial year ended March 31, 2026, and the Auditors' Report thereon.

2. To declare a final dividend at ₹0.20 (10%) per equity share of the face value of ₹2 for the financial year 2025-26.

3. To appoint a Director in place of Mr. Umesh Lahoti (DIN: 00361216), who retires by rotation under Section 152(6) of the Companies Act, 2013, and is eligible for re-appointment.

Dividend Details

The final dividend for FY 2025-26, as recommended by the Board, is subject to shareholder approval at the AGM. It will be paid to members registered in the Register of Members/Beneficial Owners as of the close of business on the Record Date (September 22, 2026). The dividend is subject to Tax Deducted at Source (TDS) as per the Finance Act, 2020.

AGM Logistics

The 31st AGM will be held entirely through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) facility provided by National Securities Depository Limited (NSDL), in compliance with MCA circulars and SEBI circular SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 3, 2024. The deemed venue is the company's registered office at 307, Arun Chambers, Tardeo Road, Mumbai Central – 400034.

Voting Information

Pursuant to Section 108 of the Companies Act, 2013 and Regulation 44 of the SEBI Listing Regulations, the company is providing a remote e-voting facility through NSDL. The voting rights of members are proportional to their shareholding in the paid-up equity share capital as of the Record Date (September 22, 2026).

Mrs. Sonam Jain, Practicing Company Secretary, has been appointed as the Scrutinizer to oversee the remote e-voting process. The results will be declared by the Chairman and placed on the company's website (www.lahotioverseas.com) and NSDL's website (https://www.evoting.nsdl.com) after the meeting.

Participation in the Virtual AGM

Members can join the VC/OAVM 15 minutes before and after the scheduled start time. The facility is available for the first 1000 members on a first-come, first-served basis, though this restriction does not apply to large shareholders (holding 2% or more), promoters, institutional investors, directors, Key Managerial Personnel, committee chairpersons, or auditors.

Attendance via VC/OAVM will be counted for quorum purposes under Section 103 of the Companies Act, 2013.

Important Notes for Shareholders

  • The Notice and Annual Report are being sent electronically to members with registered email addresses. They are also available on the company's website (www.lahotioverseas.in), BSE's website (www.bseindia.com), and NSDL's e-voting website.
  • Members holding physical shares are strongly encouraged to dematerialize them. The company's Registrar and Transfer Agent (RTA) is MUFG Intime India Private Limited.
  • Unclaimed dividends from FY 2018-19 to FY 2024-25 will be transferred to the Investor Education and Protection Fund (IEPF) in the years 2026 to 2032, respectively. Shares for which dividends have been unclaimed for seven consecutive years will also be transferred to the IEPF Suspense Account.
  • Members must ensure their PAN, KYC details, bank account information, and nomination details are updated with their Depository Participant (for demat holdings) or with the RTA (for physical holdings).

TDS on Dividend (Annexure-II)

The company will deduct TDS on the final dividend as per the Income Tax Act, 1961, and the Finance Act, 2020.

  • For Resident Shareholders: TDS is generally 10% if PAN is provided. It is 20% if PAN is not provided or is inoperative. No TDS is deducted if the total dividend for the year is ≤ ₹5,000 or if a valid Form 15G/15H is submitted.
  • For Non-Resident Shareholders: A default rate of 20% (plus surcharge and cess) applies. Lower rates under Double Taxation Avoidance Agreements (DTAAs) may be applied if the shareholder provides necessary documents, including a Tax Residency Certificate (TRC) and Form 10F.
  • For All Shareholders: Higher TDS rates under Section 206AB may apply for 'specified persons' who have not filed income tax returns for the two previous assessment years.

All required documents for claiming lower/NIL TDS must be submitted to the RTA by September 27, 2026.
