Appointment of New Director
Based on the recommendation of the Nomination and Remuneration Committee, the Board approved the appointment of Ms. Kajal Dubey (DIN: 09717665) as Additional Director in the capacity of Non-Executive Independent Director. The appointment is effective from July 17, 2026 for a period of 5 (five) consecutive years. Ms. Dubey is not liable to retire by rotation. The appointment is subject to approval of the Members of the Company pursuant to Regulation 17(1C) of the SEBI Listing Regulations.
Ms. Kajal Dubey holds an MBA in Finance and possesses a strong understanding of corporate governance, financial management, risk assessment, and strategic planning. She is not related to any of the Directors of the Company and is not debarred from holding the office of Director by virtue of any SEBI order or order of any other Authority.
Resignation of Director
The Board noted the resignation of Mr. Nikunj Shrawan Bihani (DIN: 09773768) from the position of Non-Executive Independent Director of the Company. The resignation is effective from July 17, 2026.
Mr. Bihani stated in his resignation letter that he resigned due to his pre-occupation and personal & unavoidable circumstances. Consequently, he stepped down as Member/Chairman of Committee of the Board of Directors. He confirmed that there are no material reasons for his resignation other than those mentioned.
According to the disclosure, Mr. Bihani does not hold any directorships in other listed entities. There are no other material reasons for his resignation other than professional commitments.
