A. Appointment of Statutory Auditors

Shareholders approved the appointment of M/s. NRD Associates (Firm Registration No. FRN: 0056628), Chartered Accountants, as Statutory Auditors
Term: 5 consecutive years from 2026-2027 to 2030-2031
Appointment valid until conclusion of the 50th Annual General Meeting in 2031
Reason for change: Previous auditors M/s. Subbachar & Srinivasan (Firm Registration No. 0040838) completed their maximum permissible term of two consecutive five-year terms as per Companies Act, 2013

B. Amendment to Articles of Association

Shareholders approved amendment to Article 84 of the Articles of Association
Purpose: To align with provisions of Companies Act, 2013 regarding appointment and remuneration of directors
New Article 84 covers appointment of Chairman, Vice Chairman, Managing Director, Joint Managing Director or Whole Time Director
Specifies that Chairman, Vice Chairman or Chairman cum Managing Director shall not be subject to retirement by rotation
Board may confer powers to these positions with restrictions
Remuneration requires approval by Company in General Meeting
Appointment subject to Central Government approval if at variance with Schedule V conditions of Companies Act, 2013
